Company Secretary

• Managing all board and committee meetings; coordinating, preparing and distributing Board/committee pre-read materials, meeting agendas, notifications and meeting minutes for the Board of Directors and committees.
• Strict compliance with the Code of Corporate Governance, and Prudential Regulations for Corporate /Commercial Banking.
• Providing all legal support in a proactive, timely, cost-effective and professional manner in furtherance of business objectives and protection of shareholder interests
• Research and analysis of diverse legal propositions including but not limited to Finance Laws, Companies Law, Contract Law, Competition Law, Intellectual Property, Arbitration, Tax Law, Foreign Exchange Regulations, Banking Law, Constitutional Law, Stamp Law and Labour Law.
• Advising all five Business Divisions on all corporate law matters. Drafting, amending, vetting, and finalizing all contracts including but not limited to lease and rental, confidentiality agreements, shareholding agreements, etc.
• Managing SAM Unit (Recoveries). Liaising and coordinating with external counsel in handling Litigation matters
• The prime person responsible for regular correspondence with regulatory bodies and for managing statutory audits, inspections by the State Bank of Pakistan (SBP), compliance reviews by the Securities & Exchange Commission of Pakistan (SECP), cyclic reviews by the rating agency, etc.

Minimum Bachelors degree in Law (Master's Preferred)

8-10 years of experience with sizeable public limited companies preferably in the textile, automotive, or manufacturing sector

Hands-on experience in dealing with reputable corporate lawyers and courts

In-depth knowledge of corporate governess/affairs and matters
